Insight into the Acquisition Process

Selling your company is not a single event. It's a process with stages — and knowing the shape of it in advance is the difference between negotiating from understanding and reacting from anxiety.

The Other Half

What actually happens once a conversation about selling begins

In the companion piece, How Property Management Companies Are Actually Valued, we broke down how a buyer arrives at a number. This is the other half: what actually happens once a conversation about selling begins, and how to tell a good acquirer from one you'll regret partnering with.

If you haven't read it yet, start with How Property Management Companies Are Actually Valued — it covers the number side of the same conversation.

The Stages, Start to Finish

Most acquisitions move through the same arc

Most lower-middle-market acquisitions follow a consistent sequence, whatever the buyer or the specifics of the deal:

Pre-diligence. Early conversations. The buyer gets a high-level look at the business; both sides feel out fit. Light financials, no deep access yet.

LOI (Letter of Intent). The buyer puts a price and structure on paper. If signed, it usually grants the buyer a period of exclusivity to complete diligence.

Active (confirmatory) diligence. The deep dive. Full financials, quality of earnings, legal and contract review, operational assessment.

Purchase agreement & close. Final terms are documented and signed; the deal completes.

Integration. The post-close work of actually bringing the business in — and where a good partner's intentions become obvious.

Worth clarifying

A quick note on the LOI, because it's widely misunderstood. It is typically non-binding on the actual deal terms — the price can still move as diligence turns things up.

But a few specific provisions inside it usually are binding: exclusivity (a "no-shop" that stops you talking to other buyers for a set window) and confidentiality. So "is the LOI binding?" isn't a yes/no — most of it isn't, but the parts that constrain you often are. Read those closely.

Verification

The QoE, and why the buyer runs it

During active diligence, the buyer goes through a quality of earnings analysis — an independent examination, usually by an accounting firm, that verifies your earnings are real, recurring, and correctly adjusted. It tests your reconciliations, your revenue, and every add-back you've claimed.

It exists because no serious buyer purchases on trust alone, and every credible acquirer runs one. For you, the takeaway is simple: the cleaner your books going in, the faster and less painful this is, and the more of your claimed value survives it.

A Practical Note

How expenses usually work

In lower-middle-market deals, the standard is that each party carries its own costs. You pay for your advisors; the buyer pays for theirs, including the QoE. Nobody's legal bill lands on the other side's desk. It's worth confirming this early so there are no surprises, but the default expectation is that costs sit where they're incurred.

What To Keep In Mind At The Table

Beyond the mechanics, what determines a good deal

A handful of things determine whether a deal is actually good for you — not just whether it closes.

Worth understanding

Understand your cash up front

The headline number and the cash you receive are rarely the same.

Deals are often structured with earn-outs, seller notes, or retained equity. Know exactly how much is guaranteed and in your hands on day one, versus what's contingent on the future.

Worth understanding

Be clear on roles and responsibilities

After close, what is your job?

What decisions are yours? What changes? Get this defined, not assumed.

Worth understanding

Decide whether you're staying — and hold that line

Many buyers will push to move you out quickly.

That may not be what you want. Whether you stay involved is your decision to make, and it's a lever, not a foregone conclusion. Different buyers approach this differently; the right structure is the one that matches what you want your next chapter to look like.

Reading The Buyer

Partner or predator?

This is the part no term sheet shows you, and it's the most important. The way a buyer behaves during the process tells you almost everything about what they'll do once they own your business.

How to read the signals

A partner looks like

Genuine curiosity about how the business runs

Thoughtful diligence — real questions, real engagement

A clear, articulated view of integration and growth

Wanting to keep good people and build on what works

A predator looks like

A number and a signature, fast, with little interest in the operation

Rushed or shallow diligence

No plan beyond acquiring

Signals of gutting — cutting the team, stripping the operation

Yes, a buyer is running diligence on you — but you should be running it right back on them. Ask what happened to the last companies they acquired, and what the teams look like now.

A buyer who shows up, hands you a number, and is ready to purchase with almost no interest in how the company actually works is telling you something: they're not planning to steward this business. They're planning to extract from it.
